Florida LLC (currently active)
Newly formed Delaware C-Corp via Stripe Atlas
Preparing to issue a SAFE to our first angel investor
Bringing on a French-based contractor (growth lead)
I’m looking for a legal partner who can provide both immediate support and ongoing strategic guidance as we grow.
Immediate Needs:
Advise on optimal entity structure (Delaware C-Corp vs. Florida LLC) and clean transition strategy (including LLC wind-down)
Guidance on protecting personal assets and ensuring proper tax positioning
Review and revise Articles of Incorporation and company governance documents
Review and clean up international contractor agreement (France-based contractor)
Review and refine SAFE agreement for angel investor
Draft a strong Enterprise SaaS SLA template for subscription / software licensing agreements
Ideal Experience:
U.S. startup law (especially Delaware C-Corps)
SAFE agreements and early-stage fundraising
SaaS subscription agreements and enterprise SLAs
Cross-border contractor agreements (U.S. ↔ EU preferred)
Experience advising founders at pre-seed / seed stage
