Associate Attorney - Transactional Tax

Our client, a prestigious AmLaw 50 firm, is seeking a junior to mid-level Associate Attorney to join their thriving Transactional Tax Practice in their Bay Area offices. This is the perfect role for a driven and detail-oriented attorney looking to work on complex, high-value tax matters on a sophisticated transactional tax team.
Candidate Profile:
• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in California.
• 1+ years of substantive experience in transactional tax matters.
• Familiarity with federal income tax issues related to mergers and acquisitions, joint ventures, and other corporate transactions.
• Strong research and writing skills with the ability to translate technical tax concepts into practical guidance.
• Excellent communication, interpersonal, and project management skills.
Key Responsibilities:
• Advise clients on the federal income tax aspects of a wide range of transactions, including M&A, private equity deals, financings, and restructurings.
• Work closely with corporate, finance, and real estate attorneys to provide integrated legal solutions.
• Conduct legal research and prepare memoranda related to tax structuring, compliance, and planning.
• Assist with drafting and negotiating tax-related provisions in transaction documents.
• Analyze tax consequences and identify potential risks for clients in complex transactions.
